Ambassador Program Terms & Conditions

1. Overview

The Powskill Ambassador Program ("Program") allows approved participants ("Ambassadors") to promote Powskill in exchange for commissions on referred subscriptions. By applying to or participating in the Program, you agree to these terms in addition to our Terms of Service, Privacy Policy, and EULA.

2. Eligibility and Application

• You must be at least 16 years old to apply to the Program.
• You must have an active Powskill account in good standing.
• Acceptance into the Program is at our sole discretion. We may accept, reject, or waitlist applications without providing a reason.
• You must provide accurate information in your application, including your real name, school, and social media accounts.
• You must have a valid PayPal account to receive payouts.

3. Ambassador Tiers and Commissions

The Program has the following tiers based on the number of successful referrals:

• Commissions are calculated as a percentage of the net revenue (after payment processor fees) from each referred user's subscription.
• Commissions are earned only on the first subscription payment from each unique referred user.
• We reserve the right to modify commission rates, tier thresholds, or the program structure with 30 days' notice to active Ambassadors.

4. Referral Tracking

• Each Ambassador receives a unique referral code (format: PWS-XXXX) and a shareable referral link.
• A referral is counted when a new user signs up through your referral link or enters your code during signup, and subsequently purchases a paid subscription.
• Referrals are tracked via browser cookies. If the user clears cookies or uses a different device to subscribe, the referral may not be attributed.
• Self-referrals (signing up using your own referral code) are prohibited and will not be credited.

5. Payouts

• Commissions accumulate as a pending balance in your Ambassador dashboard.
• You may request a payout once your pending balance reaches the minimum threshold of $10 USD.
• Payouts are processed via PayPal to the email address associated with your Ambassador profile.
• We process payout requests within 14 business days.
• PayPal transaction fees (if any) are deducted from the payout amount.
• You are solely responsible for any taxes owed on commissions earned. Powskill does not withhold taxes on your behalf.

6. Content Submissions

Ambassadors may submit promotional content (social media posts, videos, stories) for review and commission credit:

• Submitted content must genuinely promote Powskill and comply with our brand guidelines.
• Content is reviewed by our team and may be approved or rejected at our discretion.
• Approved content may earn additional commission bonuses as determined by our review.
• By submitting content, you grant Powskill a non-exclusive, worldwide, royalty-free license to use, display, and share the content for marketing purposes.

7. Prohibited Activities

As an Ambassador, you agree not to:

• Create fake accounts, use bots, or generate fraudulent referrals
• Spam individuals or groups with unsolicited referral messages
• Make false, misleading, or exaggerated claims about Powskill or its features
• Impersonate Powskill employees or suggest an official employment relationship
• Use paid advertising (Google Ads, Meta Ads, etc.) to promote your referral link without prior written approval
• Incentivize signups with unauthorized offers, discounts, or rewards not sanctioned by Powskill
• Post promotional content in a way that violates the terms of service of any platform (Instagram, TikTok, etc.)
• Engage in any activity that could damage Powskill's reputation or brand

8. Suspension and Termination

• We may suspend or terminate your Ambassador status at any time if we determine that you have violated these terms or engaged in prohibited activities.
• Upon termination, your pending balance will be forfeited if the termination is due to fraud, abuse, or policy violations.
• If you are terminated without cause, we will pay out any accrued pending balance above the minimum threshold.
• You may voluntarily withdraw from the Program at any time by contacting us. Accrued commissions above the minimum threshold will be paid out.

9. Relationship

Ambassadors are independent promoters, not employees, contractors, agents, or partners of Powskill. This agreement does not create an employment, agency, partnership, or joint venture relationship. You have no authority to bind Powskill to any obligation or make commitments on our behalf.

10. Confidentiality

Any non-public information shared with you as part of the Program (upcoming features, internal metrics, marketing strategies) is confidential. You agree not to disclose confidential information to third parties without our prior written consent.

11. Limitation of Liability

To the maximum extent permitted by law, Powskill's total liability to you under this agreement is limited to the total commissions paid to you in the 3 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages arising from your participation in the Program.

12. Changes to These Terms

We may update these terms from time to time. When we make significant changes, we will notify active Ambassadors via email or in-app notification and update the "Last updated" date. Continued participation in the Program after changes are posted constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by the laws of the Republic of Indonesia. Any legal proceedings shall be brought in the courts of Indonesia, and you consent to the jurisdiction of those courts.
